Setting up in the Netherlands
The Netherlands is an easy door into Europe: business happens in English, the ports are excellent, and hundreds of Indian companies are already there.
Company forms
- BV (besloten vennootschap): the standard private limited company. Minimum capital is just €0.01.
- Branch office: registered with KVK as part of the Indian company.
The steps for a BV
- Prepare the deed of incorporation with a Dutch civil-law notary.
- The notary registers the BV with KVK, the Netherlands Chamber of Commerce.
- Register the ultimate beneficial owners (UBO).
- Get tax numbers and register for VAT.
- Open a bank account (allow time for compliance checks).
- Set up payroll.
Recognised sponsor status
To hire highly skilled migrants (including from India) under the fast Dutch scheme, your company must become an IND recognised sponsor. Apply early: it is one of the most important steps for Indian companies that will move staff.
Support available
- NFIA (Netherlands Foreign Investment Agency) and regional partners help with setup, locations and introductions, free of charge for investors.
- Business.gov.nl has clear English guidance on rules and procedures.
Logistics
The Port of Rotterdam and Schiphol airport make the Netherlands a common choice for distribution centres serving all of Europe. Customs warehousing and fiscal representation are well developed.
Tax notes
The Netherlands has a two-rate corporate income tax and a network of tax treaties, including with India. Get advice on transfer pricing and the expat tax facility before moving staff.
